2. Description of Service and Definitions

VCM.fyi is a carbon market intelligence platform that provides data aggregation, AI-powered analysis, and market intelligence for the voluntary and compliance carbon markets.

VCM.fyi provides AI-generated intelligence reports, risk assessments, proponent analyses, country policy summaries, price narratives, and other information and data relating to carbon credit projects, project proponents, countries, and market developments (collectively, “Opinions”). VCM.fyi also provides registry data, credit transaction data, buyer profiles, and other data, information, analytics, deliverables, or reports based on proprietary and third-party data relating to the voluntary and compliance carbon markets (together with Opinions, “VCM.fyi Data”).

3. Nature of Opinions — Not Statements of Fact

Opinions are, and shall be construed solely as, AI-generated statements of opinion on carbon credit projects, project proponents, country policies, or market conditions at a certain point in time. They are not statements of current or historical fact, not investment or financial advice, not endorsements or criticisms of any project, proponent, or entity, and not recommendations to take or not take any particular action.

Opinions are not facts and therefore cannot be described as being “accurate” or “inaccurate.” Opinions are the collective output of automated AI systems processing publicly available information. No individual is solely responsible for any Opinion.

In particular, VCM.fyi Data is not intended to, and should not be used to, provide advice or recommendations, or influence any decision in respect of any investment, transaction, or regulatory action. Opinions do not address market value risk, price volatility, or any specific financial outcome, and do not take account of any objectives or requirements of any User.

4. AI-Generated Content

A significant portion of the content on VCM.fyi is generated or augmented by artificial intelligence. This includes, but is not limited to, project intelligence memos, forensic news analysis, risk assessments, proponent risk profiles, country policy summaries, price narratives, newsletter content, and responses from the AI research assistant.

AI-generated content may contain errors, inaccuracies, hallucinations, misattributions, or outdated information. While we implement safeguards including automated deduplication, source grounding, date filtering, and editorial review, no AI system is infallible. As a result of the possibility of technical and/or other error, all VCM.fyi Data is provided on an “as is” basis without representation or warranty of any kind. You should independently verify any information obtained through the Service before making any decisions based on it.

VCM.fyi does not recommend, endorse, or advise for or against any particular carbon project, credit, registry, methodology, proponent, buyer, or transaction. Mention of any project, proponent, or organization does not constitute endorsement or criticism.

VCM.fyi has not consented to being named an “expert” or any similar designation under any applicable securities, financial services, or regulatory laws in any jurisdiction.

6. User Acknowledgment of Independent Judgment

Each User acknowledges that it will, with due care, make its own study and evaluation of any project, proponent, country, or transaction before taking any decisions or actions. Nothing provided by VCM.fyi should be a substitute for the exercise of independent judgment, skill, and expertise by a User. Each User takes any investment, purchasing, or business decisions solely at its own risk.

Each User is responsible for the conclusions that it draws from any use of VCM.fyi Data. By providing VCM.fyi Data, VCM.fyi is not expressing any judgment or opinion on the suitability of any transaction, nor providing any advice.

Each User acknowledges that while Opinions may reference project proponents, they do not include “know your customer” (KYC), anti-money laundering (AML), or any other counterparty due diligence checks on any project proponent or entity. Users are solely responsible for conducting such checks on all transaction counterparties prior to engaging in any carbon credit transaction.

7. Restrictions on Use

Subject to your compliance with these Terms of Use, VCM.fyi grants you a non-exclusive, non-transferable, non-sublicensable right to access the Service and VCM.fyi Data strictly for internal business purposes. You shall not, and shall not attempt to, directly or indirectly:

Copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Service or VCM.fyi Data in any form or media or by any means, except as expressly permitted
Attempt to reverse compile, disassemble, reverse engineer, or otherwise reduce to human-perceivable form all or any part of the software underlying the Service
Access all or any part of the Service in order to build a product or service which competes with the Service
Permit any text or data mining or web scraping of the Service for any purpose, including the development, training, fine-tuning, or validation of artificial intelligence systems or models
Input any VCM.fyi Data into any artificial intelligence system or large language model
Use all or any part of VCM.fyi Data for commercial purposes without obtaining an express license to do so from VCM.fyi
Use any part of the Service in connection with reporting required under any financial instrument or pursuant to any regulatory obligation, unless expressly authorized
Redistribute, resell, or sublicense any VCM.fyi Data to third parties

If VCM.fyi knows or has reasonable grounds to suspect that you are acting in breach of these restrictions, VCM.fyi may immediately suspend your access to the Service without notice.

8. Third-Party Data and Providers

VCM.fyi aggregates data from third-party sources including carbon credit registries (Verra, Gold Standard, ACR, CAR, Isometric, Puro.earth), news sources, and public databases. These third-party providers have proprietary rights with respect to their data.

VCM.fyi adopts reasonable measures to ensure the information it relies upon is of sufficient quality and from sources it considers reliable. Notwithstanding, VCM.fyi cannot independently verify or validate all of the information used or made available. Underlying registry data remains the property of the respective registries and is subject to their terms of use.

9. No Warranty; Disclaimer

THE SERVICE AND ALL VCM.FYI DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, BY VCM.FYI AND ITS OPERATORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES (COLLECTIVELY, THE “VCM.FYI PARTIES”). BY ACCESSING ANY VCM.FYI DATA, EACH USER AGREES THAT NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE VCM.FYI PARTIES SHALL CONSTITUTE A REPRESENTATION OR WARRANTY.

THE VCM.FYI PARTIES EXPRESSLY DISCLAIM ANY AND ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, FREEDOM FROM BUGS, SOFTWARE ERRORS OR DEFECTS, THAT THE SERVICE'S FUNCTIONING WILL BE UNINTERRUPTED, OR THAT THE SERVICE WILL OPERATE WITH ANY PARTICULAR SOFTWARE OR HARDWARE CONFIGURATION.

The VCM.fyi Parties make no guarantee of accuracy, completeness, timeliness, or availability. VCM.fyi Data may include inaccuracies, AI hallucinations, misattributions, or typographical errors, and there may be times when it is unavailable. VCM.fyi has no obligation to keep VCM.fyi Data updated, but may make modifications at any time. Users assume the sole risk of making use of and/or relying on VCM.fyi Data.

10. Limitation of Liability

VCM.FYI SHALL HAVE NO LIABILITY FOR ANY DAMAGE CAUSED BY ERRORS OR OMISSIONS IN ANY INFORMATION (NEGLIGENT OR OTHERWISE, INCLUDING WITHOUT LIMITATION IN VCM.FYI DATA) OR ANY ACTIONS TAKEN BY VCM.FYI AT A USER'S DIRECTION. NO OTHER PARTY IS ENTITLED TO RELY ON VCM.FYI DATA FOR ANY PURPOSE WHATSOEVER, AND VCM.FYI DISCLAIMS ANY RESPONSIBILITY TO ANY THIRD PARTY WHO HAS HAD COMMUNICATED TO THEM THE INFORMATION OR OPINIONS PROVIDED TO THE USER.

WHERE A USER EVALUATES ANY VCM.FYI DATA AND SUBSEQUENTLY PROVIDES OR INTENDS TO PROVIDE ADVICE TO THIRD PARTIES BASED ON SUCH USE, THE USER ACKNOWLEDGES THAT VCM.FYI EXPRESSLY DISCLAIMS ALL LIABILITY IN RELATION TO SUCH ADVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE VCM.FYI PARTIES SHALL NOT BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, COSTS, EXPENSES, OR LEGAL FEES, WHETHER FORESEEABLE OR UNFORESEEABLE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF OR CORRUPTION OF DATA, LOSS CAUSED AS A RESULT OF ANY VCM.FYI DATA BEING UNAVAILABLE, OR LOSS ARISING FROM ANY FAILURE OF A USER'S INFRASTRUCTURE, HOWEVER ARISING UNDER THESE TERMS OF USE.

VCM.FYI'S AGGREGATE LIABILITY IN CONTRACT, TORT (INCLUDING NEGLIGENCE OR BREACH OF STATUTORY DUTY), MISREPRESENTATION, RESTITUTION, OR OTHERWISE ARISING OUT OF OR RELATING TO THESE TERMS OF USE, THE SERVICE, AND/OR ANY VCM.FYI DATA SHALL BE LIMITED TO THE AMOUNT YOU PAID TO VCM.FYI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

Each User shall defend, indemnify, and hold harmless the VCM.fyi Parties against claims, actions, proceedings, losses, damages, expenses, and costs (including without limitation court costs and reasonable legal fees) arising out of or in connection with the User's use of the Service or VCM.fyi Data in breach of these Terms of Use or other agreements or policies referred to in these Terms of Use.

12. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at hi@vcm.fyi of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice.

13. Subscription and Payment

VCM.fyi offers both free and paid tiers. For paid subscriptions:

Fees are charged in advance on a monthly or annual basis as specified at the time of purchase
All fees are non-refundable except where required by law or at our sole discretion
We reserve the right to change pricing with 30 days' notice
Failure to pay may result in suspension or termination of your access
You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period

14. Intellectual Property

All intellectual property rights in and to the Service, VCM.fyi Data, and any derivative works, improvements, or modifications thereof shall belong to, and remain vested in, VCM.fyi at all times. Except as expressly stated in these Terms of Use, these Terms do not grant any User any rights to, under, or in, any patents, copyright, database right, trade secrets, trade names, trade marks, or any other intellectual property rights in respect of VCM.fyi Data.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your own internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the Service without prior written permission.

Underlying registry data (e.g., from Verra, Gold Standard) remains the property of the respective registries and is subject to their terms of use. Third-party trademarks displayed on the Service are the property of their respective owners.

15. Corrections and Error Reporting

VCM.fyi is committed to improving the quality of its Opinions. If you identify an error in any content — including AI-generated intelligence, project data, country policy information, or newsletter content — please report it to hi@vcm.fyi.

We will investigate all reported errors and, where appropriate, issue corrections promptly. See our Editorial Policy for more details on our correction process.

16. Third-Party Links

The Service may contain links to third-party websites, including carbon registry websites, news sources, and other external resources. VCM.fyi is not responsible for the content, accuracy, or practices of any third-party sites. The inclusion of any link does not imply endorsement.

17. Governing Law and Disputes

These Terms of Use, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms of Use or their subject matter or formation, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

18. General

These Terms of Use constitute the entire agreement between you and VCM.fyi with respect to your access to the Service and supersede all previous agreements, promises, warranties, representations, and understandings between them, whether written or oral.

No failure or delay by VCM.fyi to exercise any right or remedy provided under these Terms of Use or by law shall constitute a waiver of that or any other right or remedy. If any provision of these Terms of Use is or becomes invalid, illegal, or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted without affecting the validity and enforceability of the rest of these Terms.

Nothing in these Terms of Use shall be construed to imply any relationship of agency, partnership, joint venture, or employment between VCM.fyi and a User.

19. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
